1. Acceptance of Terms

By accessing or using the services provided by Fairlyst Software Systems LLC ("Fairlyst," "we," "us," or "our"), including the Compliance OS and Mizan Engine (the "Software"), you agree to be bound by these Terms of Service. If you do not agree, you may not use our services.

2. Description of Service

Fairlyst provides a centralized "Desk-to-Pocket" software infrastructure designed to assist businesses in the United Arab Emirates with regulatory governance and ESG performance tracking.

• Compliance OS: A digital hub for document management and regulatory alerts.
• Mizan Engine: A performance engine for utility data processing and ESG auditing.

3. No Professional Advice Disclaimer

Fairlyst is a software provider, not a law firm or a certified environmental consultancy. The Software is a tool to help automate data processing and organizational workflows. While we strive for accuracy based on UAE mandates, the information provided by the Software does not constitute legal, financial, or certified audit advice. Users are responsible for verifying their own compliance standing with relevant UAE authorities.

4. User Responsibilities

• Data Accuracy: You are responsible for the accuracy of the data uploaded to the Software (e.g., utility account numbers, trade licenses).
• Account Security: You must maintain the confidentiality of your login credentials for both the web and mobile interfaces.
• Lawful Use: You agree to use the Software only for lawful purposes within the United Arab Emirates.

5. Software License and Restrictions

We grant you a non-transferable, non-exclusive license to use the Fairlyst ecosystem for your internal business operations. You may not:

• Reverse engineer or attempt to extract the source code of the Mizan Engine.
• Use the Software to build a competing product.
• Bypass any security measures implemented in the Compliance OS.

6. Limitation of Liability

To the maximum extent permitted by UAE law, Fairlyst Software Systems LLC shall not be liable for any indirect, incidental, or consequential damages resulting from your use of the Software, including but not limited to fines from regulatory bodies or data entry errors by the user.

7. Intellectual Property

All intellectual property rights in the Software, including the proprietary Mizan algorithms and the Fairlyst brand, are owned exclusively by Fairlyst Software Systems LLC.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates as applied in the Emirate of Abu Dhabi. Any disputes shall be subject to the exclusive jurisdiction of the Abu Dhabi courts.
